Governance, Contracts & Risk Management

CONTRACT ADMINISTRATION

HP will execute agreements and remit payments directly to Grand Velas Los Cabos and all selected third-party suppliers. The Norva House will coordinate contract timelines, deliverables, revisions, approvals, and vendor communications, providing HP with complete visibility throughout the planning process.

CANCELLATION & ATTRITION

Cancellation terms will be governed by each agreement executed directly by HP. Grand Velas Los Cabos has approved 15% cumulative room-block attrition: 10% up to six months prior to arrival and an additional 5% up to three months prior to arrival.

HOTEL & VENDOR INSURANCE

Grand Velas Los Cabos maintains comprehensive General Liability Insurance with coverage of up to $10 million. A copy of the resort's Certificate of Insurance (COI) can be provided during the contracting process. Third-party suppliers will maintain insurance applicable to their respective services.

FORCE MAJEURE

The resort’s standard Force Majeure clause is:

In the event of any Force Majeure, which prevents performance by any Party hereto of its respective obligations, delivery or receipt of the Services of deliverables, in whole or in part, Client shall have the right to terminate this Group Accommodation Agreement upon delivery of written notice to the Hotel.

For purposes of this paragraph, Force Majeure shall mean any cause beyond control such as Acts of God, war, blizzard, hurricane in either party´s country that make it impossible to perform as originally contracted under this Group Accommodation Agreement.

For purposes of this paragraph, Force Majeure shall mean flood, disease, health advisory, travel advisory, or curtailment of local transportation in the city in which the Hotel is located.

  • Applicable health advisories must be issued by the US department of State and must apply for the city in which the Hotel is located, within one month of the Group Arrival.
  • Applicable travel advisories must be issued by the US department of State, for the city in which the Hotel is located, within one month of the Group Arrival.
  • Applicable curtailment of local transportation in the city where the HOTEL is located, and must affect over 50% of attendees in order to justify termination of Group Accommodation Agreement.

If any of the above circumstances occurs, the parties agree that the only alternative regarding the use of the deposit is to reschedule the use of the Hotel within twelve (12) months from the original group arrival date (From March 30th, 2027 to March 30th, 2028). The reschedule will be confirmed based on availability. Rates will have a 7% increase over the Contracted rates. The 100% of the received deposits will be transferred to the new date. The mentioned reschedule cannot be confirmed on the following blackout dates: Summer (July 15th to August 15th, 2027), Thanksgiving week (November 20th to 28th, 2027), Christmas and New Year week (December 14th, 2027 to January 5th, 2028), President’s week (February 19th to 27th, 2028) and Holy & Easter week (April 8th to 23rd, 2028).

BUDGET TRANSPARENCY

A detailed line-item budget will provide visibility into hotel, food and beverage, meeting space, production, entertainment, transportation, excursions, registration, creative services, staffing, agency fees, contingency and optional enhancements.

COST-OVERRUN MANAGEMENT

Budget commitments and anticipated variances will be monitored throughout planning. Material expenses outside the approved budget will be presented to HP for review and approval before commitment.

THE NORVA HOUSE

Professional Services

Every exceptional incentive program begins with exceptional planning. The Norva House serves as an extension of HP, providing strategic leadership, meticulous execution, and white-glove service from initial concept through final reconciliation.

PRE-EVENT SITE INSPECTION

Planning on Property

Upon execution of the Services Agreement and receipt of the initial payment installment, The Norva House will coordinate and conduct one (1) comprehensive pre-event site inspection with HP and the selected resort. Two (2) Norva House team members will participate in the site visit, which will include resort walkthroughs, meeting and event space reviews, transportation logistics, food tastings, excursion evaluations, and planning sessions with the resort and destination partners to finalize the guest experience and operational details.

PRE-EVENT SITE INSPECTION EXPENSES

As the resort agreement will not yet be in effect at the time of the site inspection, hotel accommodations for two (2) Norva House team members, along with all associated travel expenses, including airfare, ground transportation, meals, and incidental expenses, will be billed at actual cost with no markup.

ONSITE EVENT MANAGEMENT

White-Glove Execution

Four (4) Norva House team members will arrive two (2) days prior to guest arrival to oversee final production, registration setup, vendor coordination, room inspections, event rehearsals, signage and branding installation, audiovisual coordination, and overall operational readiness. The Norva House team will remain onsite throughout the program to manage all event operations and ensure a seamless guest experience through program completion.

ONSITE EVENT EXPENSES

Hotel accommodations for four (4) Norva House team members, beginning two (2) days prior to guest arrival through program completion, will be included within the contracted hotel room block.

Airfare, ground transportation, meals, and incidental expenses for the onsite Norva House team not provided by the resort or included within the program will be reimbursed at actual cost with no markup.

PAYMENT TERMS

Executive Program Management Fee Protection

The Executive Program Management Fee is non-refundable and compensates The Norva House for strategic consulting, program design, planning, creative development, project management, supplier coordination, registration management, production oversight, onsite execution, and related professional services. Once work has commenced, all Executive Program Management Fee payments are earned and non-refundable. Reimbursable travel expenses become non-refundable once booked or incurred.
